AI Services Terms

1. Introduction

(a) Your access to use of any features or functionality made available as part of the AI Services is subject to these additional terms and conditions (Terms). The Consultation Manager Terms & Conditions (CM Terms) will also still apply. In the CM Terms, references to:

  • (i) ‘Agreement’ includes these Terms; and
  • (ii) ‘Application’ includes the AI Services;
  • (iii) ‘Customer Registration’ includes any registration or election to use the AI Services; and
  • (iv) ‘Your Data’ and ‘Your Content’ includes Input.

(b) In these Terms, AI Services means Consultation Manager’s ‘Email Summary Tool’ and any other tools or software which use artificial intelligence and are made available by Consultation Manager, and which You agree to purchase from Consultation Manager, as amended from time to time.

(c) By registering for, accessing and/or otherwise using the AI Services, You acknowledge that You have read, understood, and agree to be bound by these Terms. If You can’t agree to these Terms, then You cannot use the AI Services.

(d) Any capitalised words used in these Terms have the same meaning as in the CM Terms, unless stated otherwise.

(f) We may change these Terms from time to time. Material changes will be published on Our website.

 

2. General

(a) The AI Services are delivered through Microsoft’s Azure AI Language platform. For more information, You can review the Azure AI Language documentation located here.

(b) We may switch to another service provider to deliver the AI Services. We will endeavour to give You at least 30 days’ notice of any such changes.

 

3. Charges

Additional Charges may apply to Your use of the AI Services (Additional Charges). If applicable, We will provide details of these Additional Charges at the time You complete Customer Registration for the AI Services, and You agree to pay them from the date Your Customer Registration is complete.

 

4. Termination

(a) You can terminate Your access to the AI Services at any time on 30 days’ notice to us. Payments upon termination are governed by the Termination clauses in the CM Terms.

(b) Termination or expiry of the Consultation Manager Contract Period automatically terminates Your access to the AI Services.

 

5. Input and Output

(a) To use the AI Services, You must provide text input (Input) to receive related output (Output).

(b) Neither Your Data or Your Content will be used to train the AI models underlying the AI Services for the purpose of other customers of the AI Services.

(c) You acknowledge and agree that:

  • (i) Output may not be accurate, complete, free of errors, or unique;
  • (ii) We do not make any warranty as to the AI Services, Output, the results that may be obtained from the use of the AI Services or the accuracy of any information obtained through the AI Services, including with respect to the factual accuracy of any Output or suitability for Your use. Use of any Output is at Your sole risk. You should not rely on factual assertions in Output without independently fact checking their accuracy and assessing the suitability for Your use;
  • (iii) You must ensure that Your Input, Output, and use of the AI Services does not violate any applicable laws, these Terms or the CM Terms, or the rights of Us or any third parties (including IP Rights); and
  • (iv) You must not engage in any misleading or deceptive conduct in connection with the Output, or use the Output to make automated decisions that do or may have a detrimental impact on individual rights without appropriate human oversight.
